Welcome to InvestLytics, a technology platform owned and operated by JRSK Private Limited, a company incorporated under the Companies Act, 2013 in India (“Company”, “we”, “our”, or “us”). These Terms of Use (“Terms”) govern your access to and use of the InvestLytics platform, website, mobile applications, content, and services (collectively, the “Platform”).

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you must not access or use the Platform.

1. Eligibility

To use the Platform, you must:

  • Be at least 18 years of age;
  • Have the legal capacity to enter into a binding contract under Indian law;
  • Provide accurate and complete information during registration, and keep it updated.

2. Nature of Services

InvestLytics is a technology and analytics platform designed to provide:

  • Portfolio analytics and performance metrics;
  • Reporting and reconciliation tools;
  • Integration with third-party financial institutions;
  • Advisor and investor dashboards.
No Financial Advice:
  • InvestLytics is not registered with SEBI, RBI, or IRDAI as an investment adviser, portfolio manager, or intermediary.
  • Nothing on the Platform constitutes financial, investment, tax, or legal advice.
  • Users are solely responsible for making independent financial decisions and consulting licensed professionals where required.

3. User Responsibilities

You agree to:

  • Provide true, accurate, and lawful information on the Platform;
  • Comply with all applicable laws, regulations, and third-party terms (including SEBI/RBI rules where relevant);
  • Use the Platform for personal or internal business purposes only (not for resale or unauthorised commercial use).

You are solely responsible for the correctness of your personal and financial data. InvestLytics does not validate the accuracy of such information.

4. Third-Party Services & Data

The Platform integrates with external entities (e.g., MFU, banks, brokerages, Authbridge). You authorize InvestLytics to access such accounts solely for providing services.

  • We do not control or guarantee the accuracy, timeliness, or completeness of third-party data.
  • All third-party terms and conditions remain binding on you.
  • You shall indemnify InvestLytics against any claims arising from your breach of third-party agreements.

5. Disclaimers

  • Services are provided on an “as is” and “as available” basis, without warranties of any kind.
  • We do not warrant uninterrupted, error-free, or virus-free operation.
  • All content is for informational purposes only; no guarantee is made on accuracy or completeness.
  • InvestLytics disclaims all implied warranties, including merchantability and fitness for a particular purpose.

6. Limitation of Liability

To the maximum extent permitted under Indian law:

  • InvestLytics and JRSK Pvt Ltd shall not be liable for any indirect, incidental, consequential, or punitive damages.
  • Our total aggregate liability, for any claim arising from these Terms or use of the Platform, shall be limited to the subscription fees paid by you to us in the preceding three (3) months.

7. Indemnity

You agree to indemnify, defend, and hold harmless InvestLytics, JRSK Pvt Ltd, and their directors, employees, and affiliates from any claims, damages, liabilities, losses, or expenses (including legal fees) arising out of:

  • Your use of the Platform;
  • Your violation of these Terms or applicable law;
  • Inaccurate, misleading, or unlawful data provided by you;
  • Breach of third-party terms.

8. Subscription, Refunds & Cancellation

  • Subscription fees are non-refundable.
  • You may cancel anytime, but access will continue until the end of the billing cycle.

9. Data Protection & Privacy

  • Data collection, storage, and retention are governed by our Privacy & Cookies Policy, available on our website.
  • By using the Platform, you consent to such processing.

10. Intellectual Property

  • All intellectual property rights in the Platform, including software, design, text, logos, and proprietary tools (Advisor Portal, Investor Portal), belong to JRSK Pvt Ltd or its licensors.
  • You are granted a limited, revocable, non-transferable license for personal/internal use only.

11. Termination

We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your license to use the Platform ceases.- You are granted a limited, revocable, non-transferable license for personal/internal use only.

12. Governing Law & Dispute Resolution

  • These Terms shall be governed by the laws of India.
  • Any disputes shall be resolved by arbitration under the Arbitration & Conciliation Act, 1996.
  • Seat of arbitration: Gurugram, Haryana, India.
  • Language: English.
  • Subject to arbitration, the courts of Gurugram, Haryana shall have exclusive jurisdiction.

13. Miscellaneous

  • Severability: If any clause is invalid, the remainder shall continue in effect.
  • Waiver: Failure to enforce a right is not a waiver.
  • Assignment: Users may not assign rights; InvestLytics may assign at its discretion.
